This Agreement governs the services provided by SKARION LLC, specializing in Outside Plant (OSP) Engineering training and job placement services.
1. Introduction
These Terms and Conditions (“Agreement”) govern the services provided by SKARION LLC, a company specializing in Outside Plant (OSP) Engineering training and job placement services. By accessing or using our services, you (“Candidate” or “Client”) agree to be bound by the terms of this Agreement.
2. Services Provided
- Training: OSP Engineering, AutoCAD, GIS, and practice projects.
- Resume Review: Tailored resume building for the OSP field.
- Job Placement Support: Interview prep and application management.
- Job Application Management: Managing applications on LinkedIn, Indeed, Glassdoor, etc.
3. Payment Terms
- Total Fee: 10% of first-year salary or $6,000 USD, whichever is less.
- Deposit: Refundable $500 USD upon enrollment, credited to total cost.
- Balance Due: Due only upon securing employment via SKARION.
- Failure to Pay: Legal action may be taken after 90 days of non-payment.
4. Candidate Commitments
- Complete all training with 100% accuracy.
- Respond promptly to job search communications.
- Notify SKARION before pursuing any OSP job independently.
- Non-compliance may result in forfeiture of deposit and termination.
5. Job Placement and Refund Policy
- 120-Day Guarantee: Refund of $500 deposit if no job within 120 days and candidate is willing to relocate.
- Refund Requirements: Complete program, engage actively, grant platform access, respond timely, and be willing to relocate.
- Exclusions: No refund if candidate rejects offers, misses interviews, or obstructs placement.
6. Protection of Services and Intellectual Property
- All materials remain exclusive property of SKARION.
- Candidate may not copy, distribute, or sell materials without written consent.
7. Confidentiality
All SKARION information, including materials, methodologies, and trade secrets, must remain confidential indefinitely without prior written consent.
8. Termination
- Candidate’s Default: Non-completion, lack of engagement, or unprofessional behavior; deposit forfeited.
- Provider’s Default: Candidate may terminate and request refund if SKARION fails obligations.
9. Dispute Resolution
- Mediation First: Good-faith resolution attempted.
- Binding Arbitration: In Fairfax County, Virginia under AAA rules.
- Legal Costs: Prevailing party may recover fees and costs.
10. Enforceability
This Agreement is legally binding under Virginia law; unenforceable provisions do not affect the remainder.
11. Entire Agreement
This Agreement is the complete understanding; modifications must be in writing and signed by both parties.
12. Non-Compete and Post-Program Restrictions
- Non-Compete Clause: 12-month restriction on OSP-related professional activities without SKARION consent.
- Misuse of Program Services: Independent job pursuit without notice, or distribution of materials, constitutes breach; deposit forfeited and damages liable.
